Melissa Rand has an extensive background in both financial and legal matters and concentrates her practice in corporate transactions, including corporate entity formation, fund formation, mergers and acquisitions and general commercial matters. Ms. Rand has experience negotiating and documenting a variety of agreements and deal structures, including real estate joint venture agreements. She regularly counsels clients on general business matters and day-to-day operations.
Ms. Rand began her legal career with Saul Ewing, LLP, a prominent Philadelphia law firm. Her practice area spanned general corporate matters, litigation and bankruptcy and financial restructuring for both public and private companies and institutions. She has extensive experience negotiating, reviewing and drafting asset purchase agreements and loan documents, reviewing asset purchase agreements and loan documents, conducting lien perfection analysis and analyzing secured transactions under Article 9 of the Uniform Commercial Code.
